Position Title: Legal Counsel
Role Status: Full Time Employee – Fixed term contract (2 years)

Position Summary:
Reporting to the Country Manager of Samoa, the Legal Counsel is responsible for managing the provision of legal services to Bluesky Samoa Limited, including providing legal advice to management, manage the outsourcing of assignments to external counsel, prepare contracts and other legal documents as required, , preparing leases and provide advice on land law issues facing the company, contributing to corporate planning, assist with debt recovery, development of company policy, strategic initiatives and risk management. The role also assists with the provision of legal services to other Bluesky Group entities and to Group projects and working with external legal Counsel.


Major Responsibilities
Legal
• Contracts – including negotiation, drafting and review of contracts entered into by the Company.
• Prepare land leases and advise on land law issues facing the company.
• Insurance – including annual review and roll out.
• Debt recovery litigation and other litigation as necessary.
• Advise on employment matters.
• Advise on the distribution and marketing of products and services.
• Manage the outsourcing of assignments to external counsel

Regulatory
• Company liaison with Office of the Regulator.
• Manage Company compliance with regulatory requirements
• Manage regulatory processes, prepare submissions
• Attend to regulatory filings.

Insurance
• Oversee and manage the liability policies and claims reporting.
• Provide advice to the CM and management on insurance related matters

Company Secretarial:

• Support the Board in relation to constitutional and governance matters

Management
• Member of the executive management team contributing to the overall management of business operations.

Strategic initiatives
• Create and supervise maintenance of contracts database
• Create contract management processes across all departments.
• Carry out contracts, procurement, fair trading, regulatory and other training for staff
• Implement initiatives to foster risk management practices across all departments.
• Carry out and support other initiatives as identified by management.

Other Bluesky Group support
• Advise and support any Bluesky Group legal matters as instructed by CEO, Boards, and/or Country Managers

Other
• Manage the engagement and provision of external legal services.
• Provide monthly reporting to management
• Provide additional legal support as required


Key Stakeholder Relationships

Internal Stakeholders:
All Bluesky Managers, Supervisors, Staff and Bluesky Group staff

External Stakeholders:
External corporate counsel, government authorities, court and police representatives, customary land owners, customers and suppliers


Key Requirements and Competencies

Qualifications/ Experience:
• A law degree (LLB) from a recognised tertiary institution
• Member of the Samoa Law Society or other equivalent professional legal institution within commonwealth countries (Essential).
• At least five (5) years of practical legal and corporate or commercial, regulatory experience. (Essential).
• At least five (5) years’ legal experience and a track record of providing accurate and effective legal counsel services.
• Litigation experience preferred
• Working knowledge of Samoan legal system, customary and land leases preferred

• Proven track record of adding value to an organisation through the development of comprehensive contract documents that mitigate risk and penalties.
• Demonstrated knowledge of sound business practices.
• Demonstrated understanding of national & standards, ethics and requirements.
• Knowledgeable and familiar with telecommunications governing legislation and other relevant laws.
• Demonstrated skill in public relations and management.
• Fluent in English language including written English; proficiency in Samoan language preferred.
• Ability to handle and deal with various circumstances in a professional and effective manner.
• Demonstrate and proven sound leadership skills and sound judgment.

Health and Safety:
• Undertake all work in a safe manner and follow all company and workplace health and safety procedures
• Identify new hazards and advise manager or workplace Health and Safety representative/coordinator within 24 hours of identification
• Accurately report incidents and accidents to manager or workplace Health and Safety representative/coordinator as soon as possible.
